Service terms
Effective 3 September 2026. The working commercial and acceptable-use terms for ProofSyncer's document-operations service. Qualified legal review remains required before paid general availability.
Service and accounts
ProofSyncer provides document capture, extraction, validation, review, export and workflow delivery. Customers are responsible for authorized users, workspace roles, API keys, connected destinations and activity under their accounts. Owners and administrators must remove access promptly when personnel change.
Customer instructions and responsibility
The customer must have authority and a lawful basis to upload and process every document. The customer remains responsible for source records, field corrections, approvals, downstream accounting or operational actions and any professional or regulatory conclusion.
AI and workflow limitations
Results can be incomplete or incorrect. Accepted means configured technical checks passed; review means a human decision is recommended; rejected means a blocking processing or validation issue occurred. These routes are workflow signals, not accounting, tax, legal, customs, laboratory, safety or compliance approvals.
Acceptable use
Do not submit unlawful material, secrets you lack authority to process, malware, payment-card data, prohibited sensitive data, or content intended to overload, probe or circumvent service controls. Automated access must use issued credentials, published limits and idempotency controls.
Connected services
Third-party accounting, automation, collaboration, storage and payment services are governed by their own terms. Customers authorize ProofSyncer to send approved workflow data to configured destinations. ProofSyncer is not responsible for a third party's availability or the customer's destination configuration.
Fees, taxes and credits
Published fees exclude VAT and other applicable taxes. Result credits, included limits, overages, billing intervals and renewal terms must appear in the applicable order or checkout. System failures and documents rejected before extraction for platform safety limits do not consume result credits. Production billing must remain disabled until Stripe, tax, cancellation and refund behavior is contractually finalized and tested.
Cancellation, suspension and termination
Customers may cancel future renewal through the billing portal when production billing is active. ProofSyncer may restrict or suspend access to protect the service, respond to abuse or non-payment, or comply with law. Final notice, cure periods, refund treatment and post-termination export/deletion windows must be approved by counsel and stated in the customer order.
Confidentiality and data
Each party should protect the other's confidential information and use it only for the service relationship. As between the parties, the customer retains rights in its documents and business data. The customer grants ProofSyncer the limited right to process that data only to provide, secure and support the service.
Intellectual property
ProofSyncer retains rights in the platform, documentation and service improvements that do not identify a customer or reveal customer confidential information. No customer document or extracted record may be used as a public example or testimonial without explicit permission.
Availability and support
No production SLA is offered unless signed in an order form. Customers should retain authoritative source documents and business-continuity procedures. Support channels, response targets, maintenance notice and service-credit terms must be documented before contractual enterprise commitments are made.
Warranties and liability
The current evaluation service is provided without a professional-outcome warranty. Any production warranties, indemnities, liability cap, excluded losses, insurance requirements and exceptions for confidentiality, data protection or intellectual property must be negotiated and approved by qualified counsel; this working draft intentionally does not invent those terms.
Governing terms
The contracting ProofSyncer legal entity, governing law, venue, order-of-precedence rules and formal notice addresses remain launch blockers requiring owner and counsel approval. An executed order form and DPA should control where they conflict with this public draft.
